Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lumavexel website and subscription email service ("Service"). By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms. Please read them carefully.

1. The Service

Lumavexel is a paid subscription email service that aggregates publicly available bulletins and regulatory announcements from United States state insurance department websites and delivers them to subscribers in a daily digest. The Service may also include filtering, search, and integrations with third-party tools (such as Slack or Microsoft Teams) for certain paid tiers.

The information delivered through the Service is informational only. It does not constitute legal, compliance, regulatory, financial, or professional advice. You are responsible for verifying any regulatory requirement that may affect your business by reviewing the original source documents and, where appropriate, consulting qualified counsel.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You agree to provide accurate, current information when signing up, and to keep your account credentials and payment information up to date. You are responsible for all activity that occurs under your account.

3. Subscription plans, trials, and billing

3.1 Plans

We offer the following subscription tiers, which may change over time:

3.2 Free trial

New subscribers may start a 14-day free trial of Basic or Pro. A valid payment method is required to begin the trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged the applicable monthly fee. We will send a reminder email seven days before the trial ends.

3.3 Recurring billing and renewals

Paid subscriptions renew automatically each month on the same day of the month you originally subscribed, until cancelled. By providing payment information, you authorize Lumavexel to charge that payment method for all subscription fees, applicable taxes, and any other charges incurred in connection with your account.

All fees are payable in U.S. dollars. Payment processing is handled by Stripe under Stripe's own terms.

3.4 Cancellation

You may cancel your subscription at any time through the Stripe customer portal link in any of our billing emails, or by emailing info@lumavexel.com. Cancellation takes effect at the end of the current billing period; you will retain access until that period ends. We do not provide refunds for partial months, except as required by law.

3.5 Failed payments

If a payment fails, we will retry it according to Stripe's smart-retry schedule and notify you so you can update your payment method. If all retries fail, your subscription may be paused or cancelled.

3.6 Price changes

We may change subscription pricing from time to time. We will provide existing subscribers with at least 30 days' notice before any price increase takes effect on their account. If you do not agree to the new price, you may cancel before it takes effect.

4. Acceptable use

You agree not to, and not to allow any third party to:

You may share individual bulletins and digest entries internally within your organization for ordinary business purposes. You may forward links to original source documents freely.

5. Intellectual property

The aggregation, formatting, selection, and presentation of bulletin content — together with the Lumavexel name, logo, website design, and code — are owned by Lumavexel and protected by intellectual property laws. The underlying regulatory text published by state insurance departments is a work of the relevant government and is not subject to our copyright. We grant you a non-exclusive, non-transferable, revocable license to use the Service for your organization's internal business purposes during your active subscription.

6. Source accuracy and availability

We make reasonable efforts to deliver bulletins accurately and promptly, but we do not guarantee that every bulletin from every state will be captured, or that any bulletin will be delivered within a specific time window. State insurance department websites change formats, go offline, and adopt anti-automation measures that may temporarily reduce our coverage. We will notify subscribers of any extended coverage outage. You acknowledge that the Service is a convenience layer over publicly available information and is not a substitute for direct verification with the issuing department.

7. Third-party services

The Service relies on Stripe (payments), SendGrid (email delivery), and Cloudflare (hosting and DNS). Your use of these providers' offerings, when accessed through the Service, is also subject to their own terms and privacy policies. We are not responsible for outages, errors, or changes to those third-party services.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED. NOTHING IN THE SERVICE CONSTITUTES LEGAL, COMPLIANCE, REGULATORY, OR FINANCIAL ADVICE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LUMAVEXEL AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR ANY REGULATORY ACTION, PENALTY, OR FINE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Lumavexel from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, or (c) content or instructions you submit to us.

11. Termination

You may terminate your account at any time as described in Section 3.4. We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or if continuing to provide the Service would expose us to material risk. We will notify you before suspending or terminating except where prohibited or where doing so would not be practical (for example, to address a security incident).

On termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 5, 8, 9, 10, 12, and 13) will survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you and Lumavexel consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify active subscribers by email and update the "Last updated" date at the top of this page at least 14 days before the changes take effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms. If you do not agree, you may cancel your subscription before the change takes effect.

14. Miscellaneous

If any part of these Terms is held to be unenforceable, the remaining parts will continue in full force. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Lumavexel regarding the Service.
